ExchangeRight, one of the nation's leading providers of diversified REIT and DST investments, has announced that the Essential Income REIT has acquired the Dow Texas Innovation Center, a 664,100-square-foot research and development campus in Lake Jackson, Texas, within the Houston MSA.

The REIT acquired the property from Brixton Capital, a privately held real estate investment firm, as part of a 721 exchange in which Brixton received Operating Partnership Units in the REIT in exchange for the contributed property. The Essential Income REIT’s Operating Partnership provided tax-deferred access to a portfolio of 475 properties net-leased to 44 primarily investment-grade tenants across 39 states, as of September 30, 2026.

The 34-acre campus is fully leased to The Dow Chemical Company, an investment-grade-rated tenant, under a long-term single-tenant triple-net lease. The acquisition adds to the REIT's diversification by tenant, industry, and geography, while contributing significantly to the REIT’s growth. The REIT’s Adjusted Funds From Operations (“AFFO”) continue to fully cover its current annualized distributions for all of its shares, as has been the case since its inception.

"The Essential Income REIT continues to grow through strategic acquisitions that meet our disciplined standards focused on real estate fundamentals with tenants that exhibit credit quality, net lease structures, and long-term value potential through rent growth," said Joshua Ungerecht, Managing Partner of ExchangeRight. "By completing a tax-deferred 721 Exchange into the REIT’s Operating Partnership, Brixton Capital was able to transition into the greater diversification of the REIT’s portfolio via a tax-deferral solution that met their needs. In exchange, the REIT gained an investor aligned with our strategy, another investment-grade tenant, and the assumption of below-market fixed-rate financing, which we believe collectively will be accretive to the REIT’s net asset value and AFFO, for the benefit of all investors in the Essential Income REIT, including Brixton Capital.”

The past performance of the Essential Income REIT and ExchangeRight does not guarantee future results. “Investment-grade” refers to tenants whose long-term corporate debt rating is considered investment grade by Standard & Poor’s, Moody’s, and/or Fitch.
