Case Allegations:

The lawsuit alleges that DNOW’s Proxy Materials issued in connection with its acquisition of MRC Global Inc. contained materially false and misleading statements and omitted critical operational risks.

Specifically, Proxy Materials allegedly failed to disclose:

  • Severe operational integration challenges stemming from critical defects in MRC Global’s newly implemented Enterprise Resource Planning (ERP) software system.
  • Material disruption to inventory tracking, order fulfillment, and financial forecasting prior to the merger approval.
  • Artificially inflated valuation assumptions for the combined entity presented to voting shareholders.

When the truth regarding the ERP software implementation failures and reduced financial guidance was revealed, DNOW stock plummeted.
