NanoVibronix Announces Closing of $2.4 Million Registered Direct Offering Priced At-the-Market Under Nasdaq Rules

NanoVibronix, Inc. (NASDAQ: NAOV) (the “Company”), a medical device company utilizing the Company's proprietary and patented low intensity surface acoustic wave (SAW) technology, today announced the closing of its previously announced registered direct offering priced at-the-market under Nasdaq rules, of 4,800,000 shares of its common stock at a purchase price of $0.50 per share.

The gross proceeds from the offering were $2.4 million, before deducting the placement agent’s fees and other offering expenses payable by the Company. The Company intends to use the net proceeds from the offering for general working capital purposes.

H.C. Wainwright & Co. acted as the exclusive placement agent for the offering.

The shares of common stock described above were offered and sold by the Company in a registered direct offering pursuant to a “shelf” registration statement on Form S-3 (File No. 333-239965), including a base prospectus previously filed with the Securities and Exchange Commission (the “SEC”), which was declared effective on August 11, 2020. The offering was made only by means of a prospectus supplement that forms a part of the effective registration statement.
