(e) On November 24, 2008, Lear Corporation suspended participation in the previously
disclosed Management Stock Purchase Plan (MSPP) for 2009, and consequently, no deferrals of
compensation will be effective under the MSPP for 2009. All outstanding deferrals under the MSPP
for prior periods remain subject to their existing terms and conditions.
