ITEM 5.03. AMENDMENTS TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGE IN FISCAL YEAR.
On
December 20, 2007, the Board of Directors of Unifi, Inc. (the
“Company”), approved, in accordance with Section 7.09 of the
Company’s Restated By-Laws (the “By-Laws”), the amendment of Section 4.01 and 4.02 of the By-Laws
to permit the issuance of uncertificated shares of the Company’s common stock. This amendment was
made to comply with the listing requirements of the New York Stock Exchange. The Restated By-Laws,
as amended, are attached hereto as Exhibit 3.1.
