Item 5.02.   Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
     Applica Incorporated today announced that that it has recently extended the engagement of Alvarez & Marsal, LLC, a global professional services firm specializing in turnaround management, by appointing David Coles of Alvarez & Marsal as interim Chief Operating Officer.

     (c) Exhibits. On December 12, 2005, Applica issued a press release announcing the appointment of David Coles of Alvarez & Marsal as interim Chief Operating Officer. A copy of the press release is attached as Exhibit 99 to this report.
