ITEM 7.01. REGULATION FD DISCLOSURE

On March 22, 2005, Ashford Hospitality Trust, Inc. (the “Company”) acquired the Hilton Santa Fe hotel property in Santa Fe, New Mexico, from Santa Fe Hotel Joint Venture for approximately $18.2 million in cash. The Company plans to utilize cash from borrowings or cash from its follow-on public offering to fund this acquisition. The press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
