Item 8.01 Other Events.
On March 29, 2006, Lear Corporation (“Lear”) issued a press release announcing that it had received
financing commitments for $800 million in secured term loans, had reached an agreement in principle to
contribute substantially all of its European Interior products business to a joint venture with WL Ross
& Co. LLC and had suspended its cash dividend program. A copy of the press release is
attached hereto as Exhibit 99.1 and incorporated by reference herein.
