Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On November 15, 2005, Guy P. French, age 72, retired from the Board of Directors of MDC Partners Inc., effective immediately.
Mr. French’s retirement was not due to any disagreement on any matter relating to MDC Partners’ operations, policies or practices.
