Item 2.02.

RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

On February 9, 2006, Carver Bancorp, Inc. issued a press release reporting financial results for the third quarter of the fiscal year ending March 31, 2006. The full text of the press release is included in this Form 8-K as Exhibit 99.1.

OTHER EVENTS.

On February 9, 2006, the Company announced that, on February 7, 2006, the Company’s Board of Directors declared an $0.08 per share dividend for the quarter ended December 31, 2005. The dividend will be payable on March 7, 2006, to holders of record at the close of business on February 21, 2006.
