Weingarten
Realty Investors is filing this Form 8-K to update our historical financial
statements included in our Annual Report on Form 10-K filed on March 16, 2006,
as amended, for discontinued operations that have resulted from dispositions
of
real estate assets during the period from January 1, 2006 through September
30,
2006 in accordance with Statement of Financial Accounting Standards No. 144,
“Accounting for the Impairment or Disposal of Long-Lived Assets.” This Current
Report on Form 8-K updates the information in Items 1, 2, 6, 7 and 8 of our
Form
10-K for the year ended December 31, 2005 to reflect those properties as
discontinued operations for comparison purposes.
The
information contained in this Current Report on Form 8-K is presented as of
December 31, 2005, and other than as indicated above, has not been updated
to
reflect developments subsequent to that date.
