Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

On November 7, 2006, the Board upon the recommendation of the Nominating and Governance Committee, appointed J. Thomas Mason as a director to fill the vacancy created when the former Chief Operating Officer of the Company resigned in July 2006. Mr. Mason will serve until the 2009 Annual Meeting of Shareholders and will stand for election at such meeting. There were no arrangements or understandings between Mr. Mason and any other persons, pursuant to which Mr. Mason was selected as a director. No information is required to be disclosed pursuant to Item 404(a) of Regulation S-K. A copy of the press release announcing Mr. Mason’s appointment is furnished herewith as Exhibit 99.1.
