The  following information is being provided pursuant to Item 2.02.  Such
information, including the exhibit attached hereto, shall not  be  deemed

On  July  11, 2007, Halifax Corporation issued a press release  reporting
its  financial results for the fourth quarter and fiscal year ended March
31,  2007.  A copy of this press release is attached hereto as an exhibit
and is incorporated herein by reference.
