Item 1.01. 
Entry Into a Material Definitive Agreement.
 
The Company has received subscription agreements for the sale of convertible notes in the principal amount of $960,000 from 8 individual investors. A trust in which Geert Kersten, the Company’s Chief Executive Officer, holds a beneficial interest participated in the offering and purchased notes in the principal amount of $250,000. Shares issuable upon the conversion of the notes will be restricted securities unless registered.
 
The notes bear interest at 4% per year and are due and payable on December 22, 2017. At the option of the note holders, the notes can be converted into shares of the Company’s common stock at a fixed conversion rate of $2.29, the closing price on July 21, 2017.
 
The purchasers of the convertible notes also received warrants which entitle the purchasers to acquire up to 419,213 shares of the Company’s common stock. The warrants are exercisable at a fixed price of $2.52 per share and expire on July 24, 2022. Shares issuable upon the exercise of the warrants will be restricted securities unless registered.
 
The notes are secured by all of the Company’s assets.
