Item 7.01 Regulation FD Disclosure.

On January 30, 2008, Noven Pharmaceuticals, Inc. ("Noven") submitted to the U.S. Food and Drug Administration ("FDA") its response to the Warning Letter received on January 9, 2008. Noven reiterates its commitment to working collaboratively with the FDA to fully resolve the issues raised in the Warning Letter.
