Item 5.02(b)
On February 6, 2006, Richard A. Pattarozzi informed the Company that he would not stand for re-election as a director of the Company at the Annual General Meeting scheduled for May 11, 2006. Mr Pattarozzi indicated that he wanted to reduce the number of boards on which he serves because of the time commitment required. The Company expects Mr. Pattarozzi to serve the remainder of his term, which runs until the upcoming Annual General Meeting.
