NOTICE TO THE MARKET

Companhia Brasileira de Distribuição (“CBD”), in compliance with the provisions of Article 12 of CVM Ruling No. 358/02, as amended and in force, with the purposes of keeping the Market properly informed, and in addition to the Notices to the Market published on March 22, 2012; May 15, 2012; June 4, 2012 and June 22, 2012, hereby communicates to its shareholders and to the market that, on August 22, 2012, it was informed by the shareholder Casino Guichard-Perrachon of the acquisition, on the same date, by Sudaco Participações Ltda., an affiliate of Group Casino, of one million (1,000,000) common shares issued by Wilkes Participações S.A. (“Wilkes”), previously held by Península Participações S.A., as a result of the exercise by the AD GROUP of the First Put Option as provided in the Conditional Put Option Agreement entered into on November 27, 2006, and amended on December 16, 2009. As a result thereof, CASINO GROUP became holder of the majority of the voting capital of Wilkes.
