Regulation FD Disclosure.

On December 30, 2013, Air Industries Group issued a press release reporting that its Board of Directors approved the payment of a quarterly dividend of $0.1250 per common share to be paid on January 24, 2014 to all shareholders of record as of the close of business on January 9, 2014.   A copy of the press release is attached hereto as Exhibit 99.1
