Item 8.01 Other Events.

On November 28, 2018, DexCom, Inc. (“DexCom”) issued a press release announcing the pricing of its offering of $750 million aggregate principal amount of 0.75% Convertible Senior Notes due 2023 (the “Notes”) in a private placement to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended. DexCom also granted the initial purchasers of the Notes a 13-day option to purchase up to an additional $100 million aggregate principal amount of Notes. A copy of the press release announcing the pricing of the Notes is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
