Entry into a Material Definitive Agreement.

 

Item 2.03

Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

On November 21, 2018, MEDNAX, Inc., a Florida corporation (the “Company”), entered into Amendment No. 1 (the “Amendment”) to that certain Credit Agreement (the “Credit Agreement”), dated as of October 30, 2017, by and among the Company, certain of its domestic subsidiaries from time to time party thereto as guarantors, the lenders parties thereto and JPMorgan Chase Bank, N.A., as administrative agent.

The Amendment amends and restates the Credit Facility to make certain technical, conforming and other changes to the Credit Agreement including, among other things, increasing the maximum consolidated net leverage ratio required to be maintained by the Company for each quarterly measurement date from 4:00:1:00 to 4.25:1.00.
