Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(d) On October 1, 2018, Paula Tolliver was elected to the board of directors of C.H. Robinson Worldwide, Inc. (the “Company”) effective immediately, filling a new position on the board of directors. Ms. Tolliver currently serves as Corporate Vice President and Chief Information Officer at Intel Corporation, a position she has held since August 2016. Prior to joining Intel, Ms. Tolliver served as Corporate Vice President of Business Services and Chief Information Officer at The Dow Chemical Company from October 2012 to July 2016. In connection with her election, Ms. Tolliver will be receiving the standard director compensation as referenced in the Company’s proxy statement for its 2018 annual meeting of stockholders.
