Approval of Amendment to 2012 Equity Plan
As described in Item 5.07 below, at the 2018 Annual Meeting of Stockholders (the Annual Meeting) of Ziopharm Oncology, Inc. (the Company) held on September 18, 2018, the Companys stockholders approved an amendment to the Companys 2012 Equity Incentive Plan, as amended (the Equity Plan) to increase the aggregate number of shares of common stock authorized for issuance thereunder from 9,000,000 shares to 14,000,000 shares. A summary of the material terms and conditions of the Equity Plan can be found under the heading Proposal No. 4. Amendment to 2012 Equity Incentive Plan in the Companys definitive proxy statement for the Annual Meeting filed with the Securities and Exchange Commission (the SEC) on August 8, 2018 (the Proxy Statement), as amended by the supplement to the Proxy Statement filed by the Company with the SEC on August 29, 2018, and such description is incorporated herein by reference.
The amendment to the Equity Plan had been previously approved, subject to stockholder approval, by the Companys board of directors. The amendment to the Equity Plan became effective immediately upon stockholder approval at the Annual Meeting. The Equity Plan, as amended, is filed herewith as Exhibit 10.1, and is incorporated herein by reference.
Item 5.07 | Submission of Matters to a Vote of Security Holders. |
At the Annual Meeting, at which a quorum was present, the stockholders of the Company voted on the following five proposals:
| to elect the boards five nominees for director to hold office until the Companys 2019 annual meeting of stockholders and until their successors are duly elected and qualified (Proposal 1); |
| to ratify the selection by the audit committee of the board of directors of RSM US LLP as the independent registered public accounting firm of the Company for its fiscal year ending December 31, 2018 (Proposal 2); |
| to approve, on an advisory basis, the compensation of the Companys named executive officers as disclosed in the Proxy Statement (Proposal 3); |
| to approve an amendment to the Companys Equity Plan to increase the aggregate number of shares of common stock authorized for issuance thereunder from 9,000,000 shares to 14,000,000 shares (Proposal 4); and |
| to elect the boards additional nominee for director to hold office until the Companys 2019 annual meeting of stockholders and until his successor is duly elected and qualified (Proposal 5). |
