ITEM 8.01 Other Events.

On September 18, 2018, Enbridge Inc. (“Enbridge”) issued a joint press release, along with Enbridge Energy Partners, L.P. (“EEP”) and Enbridge Energy Management, L.L.C. (“EEQ”), announcing that Enbridge, EEP and EEQ have entered into separate definitive agreements under which Enbridge will acquire all of the outstanding public Class A common units of EEP and all of the outstanding public Listed Shares of EEQ. A copy of the press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.

On September 18, 2018, Enbridge issued a joint press release, along with Enbridge Income Fund Holdings Inc. (“ENF”), announcing that Enbridge and ENF have entered into a definitive agreement under which Enbridge will acquire all of the outstanding public common shares in the capital of ENF. A copy of the press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
