Item 2.02 Results of Operations and Financial Condition.

On May 3, 2018, Dermira, Inc. (the “Company”) issued a press release announcing its financial results for the quarter ended March 31, 2018. The press release is being furnished as Exhibit 99.1.

 

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) In connection with recent changes to the organizational structure of Dermira, Inc. (the “Company”) and the hiring of additional members of the Company’s management team, the typical functions of a chief operating officer no longer aligned with the existing position. Accordingly, the Company’s chief operating officer position was eliminated, effective as of May 3, 2018. Andrew L. Guggenhime will continue to serve as the Company’s chief financial officer and a member of the Company’s executive committee.
