This Amendment No. 1 (“Amendment No. 1”) amends and supplements the Tender Offer Statement on Schedule TO initially filed by Columbia Property Trust, Inc., a Maryland corporation that has elected to be taxed as a real estate investment trust for U.S. federal income tax purposes (the “Company”), with the Securities and Exchange Commission (the “SEC”) on October 10, 2013 (as may be further supplemented or amended from time to time, the “Schedule TO”), which relates to the offer by the Company to purchase for cash up to $300,000,000 in value of its common stock, par value $0.01 per share (the “Common Stock”), at a price specified by the tendering stockholders of not greater than $25.00 nor less than $22.00 per share of Common Stock, net to the seller in cash, less any applicable withholding taxes and without interest.

The Company’s offer is being made upon the terms and subject to the conditions set forth in the Offer to Purchase dated October 10, 2013 (the “Offer to Purchase”) and in the related Letter of Transmittal, copies of which were previously filed with the Schedule TO (which together, as amended or supplemented from time to time, constitute the “Offer”). The Schedule TO is intended to satisfy the reporting requirements of Rule 13e-4(c)(2) under the Securities Exchange Act of 1934, as amended.

This Amendment No. 1 is being filed to amend and supplement certain provisions of the Schedule TO as set forth herein. Except as amended hereby to the extent specifically provided herein, all terms of the Offer and all other disclosures set forth in the Schedule TO and the Exhibits thereto remain unchanged and are hereby expressly incorporated into this Amendment No. 1 by reference.

 

ITEM 1. SUMMARY TERM SHEET.

The question and answer entitled “How was the price range under the Offer determined?” in the section of the Offer to Purchase entitled “Summary Term Sheet” is hereby amended by deleting the question and answer and inserting in lieu thereof the following:

“How was the price range under the Offer determined?

We determined the price range under the Offer based on consultations among our management, our advisors and our Board of Directors. Based on such consultations, we arrived at the price range of $22.00 to $25.00 per share of Common Stock, which we believe is a range within which our stockholders might sell their shares to the Company and within which we can prudently effect repurchases for the benefit of the Company on behalf of its stockholders. We believe that repurchases at any price within this range would result in the Company repurchasing shares of Common Stock at a price that is below the current net asset value per share. The actual value and trading price of the Common Stock following the listing on the NYSE may be lower or higher than the range at which we are offering to purchase shares of Common Stock.

Stockholders are urged to obtain current market quotations for the shares of Common Stock before deciding whether and at what price or prices to tender their shares. See Section 7, “Price Range of Shares of Common Stock; Distributions”.

 

ITEM 2. SUBJECT COMPANY INFORMATION.

The section of the Offer to Purchase entitled “Price Range of Shares of Common Stock; Distributions—Price Range of Shares of Common Stock” is hereby amended by deleting the fourth sentence in such section in its entirety and inserting in lieu thereof the following:

“Based on such consultations, we arrived at the price range of $22.00 to $25.00 per share of Common Stock, which we believe is a range within which our stockholders might sell their shares to us and within which we can prudently effect repurchases for the benefit of the Company on behalf of its stockholders. We believe that repurchases at any price within this range would result in the Company repurchasing shares of Common Stock at a price that is below the current net asset value per share.”
