Item 1.02. Termination of a Material Definitive Agreement.

On October 27, 2010, ACADIA Pharmaceuticals Inc. and Biovail Laboratories International SRL, a subsidiary of Valeant Pharmaceuticals International, Inc., entered into a termination agreement (the “Agreement”) to their existing Collaboration and License Agreement, dated as of May 1, 2009 and as amended on October 15, 2009 (together, the “Collaboration”), related to the development in the United States and Canada of pimavanserin, ACADIA’s proprietary and selective 5-HT2A inverse agonist.

Pursuant to the Agreement, ACADIA will regain all the rights to pimavanserin that had been licensed to Biovail under the Collaboration, which covered the United States and Canada. In addition, ACADIA will be paid for reimbursements outstanding under the Collaboration and will receive a one-time payment of $8.75 million. The parties will not have future obligations to each other pursuant to the Collaboration.
