Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On August 10, 2009, FARO Technologies, Inc. (the “Company”) notified John E. Townsley, the Company’s Senior Vice President of Human Resources, that his employment was terminated, effective immediately, in connection with a restructuring of Company management.

(e) In connection with Mr. Townsley’s termination, the Company will make a lump sum severance payment to Mr. Townsley of $130,000, equal to six months of his base salary. The Company will also reimburse Mr. Townsley for the costs of his COBRA premiums for six months following his termination.
