On February 26, 2004, Intellisync Corporation, a Delaware corporation, issued a press release announcing that it agreed to privately place $50,000,000 aggregate principal amount of Convertible Senior Notes due 2009 (plus up to an additional $10,000,000 principal amount available for purchase by the initial purchasers).
A copy of the Company’s press release announcing the offering is attached as Exhibit 99.1 hereto and incorporated by reference herein.
