(1) On July 30, 2009, TransTech Pharma, Inc. sold 1,000,000 shares of Common Stock in a privately negotiated transaction to MacAndrews & Forbes LLC.
(2) The shares of Common Stock and the warrants are beneficially owned by TransTech Pharma, Inc. The reporting person is the President, Chief Executive Officer and a director of TransTech Pharma, Inc. The reporting person disclaims beneficial ownership of the securities beneficially owned by TransTech Pharma, Inc. except to the extent of his pecuniary interest therein.
