On January 10, 2017, John F. Meier, a member of the Board of Directors (the “Board”) of Cooper Tire & Rubber Company (the “Company”), tendered his resignation to the Board effective immediately. Mr. Meier has served as a director of the Company since 1997. Mr. Meier’s resignation was based on personal reasons and not the result of any disagreement with the Company.
