(1) | Effective December 1, 2015, the option granted by the Issuer to the Reporting Person on July 30, 2015 was amended such that 82,500 of the 165,000 shares are cancelled. The 82,500 remaining shares continue to vest and become exercisable in accordance with their terms: 20,625 shares vest and become exercisable on July 30, 2016 and 2.08333% of the 82,500 shares vest and become exercisable on each monthly anniversary date starting on August 30, 2016 through the fourth anniversary of the grant, so that the 82,500 shares will become fully vested and exercisable on July 30, 2019. In connection with the cancellation the Reporting Person became a half-time employee of the Issuer, but received no cash consideration for the cancellation. |
