Item 5.02 Departure of Directors or Principal Officers

On October 24, 2007, Mr. William Easter notified the Chairman of the Board of Directors of DCP Midstream GP, LLC, the general partner of the general partner of DCP Midstream Partners, LP, that he is retiring from the Board of Directors of DCP Midstream GP, LLC effective January 1, 2008.
