ITEM 1.03. BANKRUPTCY OR RECEIVERSHIP.
 
On January 25, 2007, Stronghold Technologies, Inc. (the “Subsidiary”), a New Jersey corporation and a wholly owned subsidiary of Dealeradvance, Inc., filed a voluntary petition for relief under Chapter 7 of the United States Bankruptcy Code in the United States Bankruptcy Court for the Northern District of Texas, Case No. 07-30322-sgj7. In connection with the filing, the Subsidiary has ceased all business activity and operations. The Subsidiary determined that it does not have sufficient resources to continue its operations. The court has appointed a bankruptcy trustee who will be responsible for the liquidation of the business through the bankruptcy case.
