Johnson resigned as Chief Financial Officer of Innova Holdings, Inc. (the "Company"). Mr. Johnson's resignation was based on his interest in pursuing other personal and commercial matters. The resignation did not relate to any disagreement with the Company on any matter relating to the Company's operations, policies or practices. (c) Appointment of Principal Officer. On February 7, 2005, Walter K.
