(1) | Non-vested restricted shares granted under the Company's 2006 Equity Incentive Plan. These shares, which are subject to possible forfeiture, will vest (that is, the risk of forfeiture of these shares will lapse) in installments as follows: (i) as to 10,000 shares on June 30, 2013, if the reporting person is still in the Company's service on that date, and (ii) as to approximately 833 shares on the last day of each succeeding month during the succeeding three years, so long as the reporting person remains in the Company service. The vesting of some or all of these shares may be accelerated if the reporting person's employment with the Company is terminated without cause or due to the occurrence of certain other events outside of his control. |
