Results of Operation and Financial Condition.

On February 23, 2010, Dorman Products, Inc. (the “Company”) issued a press release announcing its operating results for the fourth quarter and year ended December 26, 2009.  A copy of the press release is attached hereto as Exhibit 99.1 and incorporated by reference herein.
