On December 15, 2014, Ladder Capital Corp (“Ladder” or the “Company”) issued a press release announcing that it is commencing the steps necessary to be taxed as a Real Estate Investment Trust effective January 1, 2015 (the “REIT Election”).  A copy of the press release is filed as Exhibit 99.1 hereto and is incorporated herein by reference. Ladder will also hold a conference call and webcast on December 15, 2014 to discuss this announcement.
