Item 5.02                                           Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On September 11, 2013, the Board of Directors (the “Board”) of UFP Technologies, Inc. (the “Company”) elected Lucia Luce Quinn as a director and as a member of the Compensation Committee of the Board, both effective as of December 12, 2013.  In connection with Ms. Quinn’s election, the Board increased the number of directors constituting the Board from seven to eight.  Ms. Quinn will serve as a Class II director.

 

Ms. Quinn is the Chief People Officer at Forrester Research, Inc.  Ms. Quinn will be compensated, and will be eligible to participate in the Company’s compensation plans and arrangements, in the same manner as the Company’s other independent directors, as described in the Company’s proxy materials filed with the U.S. Securities and Exchange Commission.
