Item 1.01 Entry into a Material Definitive Agreement.
On March 13, 2013, BankUnited, Inc. (the Company) completed an underwritten public offering (the Offering) of 19,600,000 shares (the Firm Shares) of its common stock, par value $0.01 per share (Common Stock), pursuant to an underwriting agreement (the Underwriting Agreement), dated March 7, 2013, among the Company, the selling stockholders named therein (collectively, the Selling Stockholders) and Morgan Stanley & Co. LLC and Merrill Lynch, Pierce, Fenner & Smith Incorporated, as representatives of the several underwriters named therein (collectively, the Underwriters). The Selling Stockholders granted the Underwriters a 30-day option to purchase up to 2,940,000 additional shares of Common Stock (the Option Shares and together with the Firm Shares, the Shares), which was exercised in full on March 12, 2013. The Shares were or will be sold by the Selling Stockholders to the Underwriters at a price of $24.745 per share. Subject to customary closing conditions, the sale of the Option Shares is expected to close March 20, 2013. The Company will not receive any proceeds from the sale of the Shares.
From time to time, the Underwriters and/or their respective affiliates have directly and indirectly engaged, or may engage, in various financial advisory, investment banking and commercial banking services for the Company and its affiliates, for which they received, or may receive, customary compensation, fees and expense reimbursement.
The offering of the Shares was made pursuant to the Companys existing effective shelf registration statement on Form S-3 (File No. 333-187060) filed with the Commission and the related prospectus supplement and accompanying prospectus. The above description of the Underwriting Agreement is not complete and is qualified in its entirety by reference to the full text of the Underwriting Agreement, a copy of which is filed as Exhibit 1.1 to this Current Report on Form 8-K and incorporated herein by reference.
