Item 1.01.

Entry into a Material Definitive Agreement.

 

On July 1, 2010, the Compensation Committee (“Committee”) of the Board of Directors (the “Board”) of Forest Oil Corporation (“Forest”) amended Forest’s 2010 Annual Incentive Plan (the “2010 Plan”) to expand the list of peer group companies included therein for purposes of the Total Shareholder Return performance measure.  The expansion of the peer group under the 2010 Plan was done to make it consistent with the peer group used for the performance unit awards that the Committee recently approved and that are described in Forest’s Current Report on Form 8-K dated May 21, 2010.  Other than as set forth above, the 2010 Plan was unchanged.
