Item 2.02.  Results of Operations and Financial Condition.

 

On August 8, 2006, Adaptec, Inc. issued a press release announcing an adjustment to the tax provision for the quarter ended June 30, 2006.  The adjustment decreased the net loss from continuing operations and net income by $0.8 million, and decreased the loss per share by $0.01. A copy of the press release issued by Adaptec, Inc. concerning the matter is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.
