Item 2.02  Results of Operations and Financial Condition.

 

On February 17, 2006, Nature’s Sunshine Products, Inc. issued a press release updating certain of its financial results for the three months ended December 31, 2005 and providing an update on the status of its review of selected financial information.  A copy of the press release is attached as Exhibit 99.1.
