This filing is being made to update percentages previously disclosed.  The number of outstanding shares of the Company’s Common Stock has increased in connection with the conversion of shares of Class A Common Stock to Common Stock by other shareholders.  October 27, 2005, the date of the event which requires the filing of this statement, represents the date on which the last such conversion necessitated a filing under Rule 13d-2(a).  Other than Item 5 below, there have been no changes to the other Items of this Schedule from prior filings.

Interest in Securities of the Issuer

(A) Estate:

Amount beneficially owned:  8,000,000.  The Estate beneficially owns 8,000,000 shares of Class A Common Stock or 32.8% of the Common Stock (which for purposes of this calculation is based on 16,400,532 shares of Common Stock outstanding to which have been added 8,000,000 shares of Common Stock by assuming the conversion of all shares of Class A Common Stock beneficially owned by the Estate into shares of Common Stock).

 

(B) Mr. Tippie:

Amount beneficially owned: 4,012,700. The Reporting Person beneficially owns 482,700 shares of Common Stock and 3,530,000 shares of Class A Common Stock or 20.1% of the Common Stock (which for purposes of this calculation is based on 16,400,532 shares of Common Stock outstanding to which have been added 3,530,000 shares of Common Stock by assuming the conversion of all shares of Class A Common Stock beneficially owned by the Reporting Person into shares of Common Stock).  The above numbers include 530,000 shares of Class A Common Stock over which Mr. Tippie has voting control only (but not the power to dispose of the shares and no pecuniary interest in the shares), 42,000 shares of Common Stock held as Co-Trustee and 150,000 shares of Common Stock held by Mr. Tippie’s wife.
