Item 5.02 Departure of Directors or Certain Officer; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
On May 1, 2013, at the 2013 Annual Meeting of Shareholders, the shareholders of Materion Corporation (“Materion” or the “Company”) approved the Materion Corporation Management Incentive Plan (the “Plan”). Under the Plan, the Company's executive officers (and other key employees designated by the Company's Board of Directors) are entitled to receive cash bonuses depending on the achievement of certain specified performance goals.
The foregoing description of the Plan does not purport to be complete, and is qualified in its entirety by reference to the full text of the Plan, a copy of which is filed as Exhibit 10.1 hereto and is incorporated herein by reference.
