Other Events.
|
On October 8, 2010, The York Water Company (the “Company”) closed its previously disclosed public offering of $15,000,000 principal amount of its 5.00% Monthly Senior Notes Series 2010A due October 1, 2040 (the “Notes”). The Notes were issued under an indenture with Manufacturers and Traders Trust Company, as trustee (the “Trustee”), dated October 1, 2010 (the “Indenture”), as supplemented by that certain First Supplemental Indenture, dated as of October 1, 2010, by and between the Company and the Trustee (the “Supplemental Indenture”).
The Indenture and the Supplemental Indenture (including the form of Note) are attached hereto as Exhibits 4.1 and 4.2 and are incorporated by reference herein and into the Company’s Registration Statement on Form S-3 (File No. 333-166329). The summaries of the Notes, the Supplemental Indenture and the Indenture in this Current Report on Form 8-K do not purport to be complete and are qualified in their entirety by reference to Exhibits 4.1 and 4.2 to this Current Report on Form 8-K.
