Item 2.02        Results of Operations and Financial Condition.

                         On November 3, 2004, Cleco Corporation (the "Company") reported earnings for the quarter and nine-month period ended September 30, 2004.  For additional information regarding the Company's earnings for these periods, please refer to the press release attached to this report as Exhibit 99.1 (the "Press Release"), which is incorporated by reference herein.  The information in the Press Release is being furnished, not filed, pursuant to Item 2.02 of Form 8-K.  Accordingly, the information in the Press Release will not be incorporated by reference into any registration statement filed by the Company under the Securities Act of 1933, as amended, unless specifically identified therein as being incorporated therein by reference.
