PART III - NARRATIVE

State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q,
N-SAR, or the transition report portion thereof, could not be filed within the
prescribed time period.

Form 10-QSB could not be filed within the prescribed time frame without
unreasonable effort or expense in time for the registrant's auditors to perform
their final review of the entire document and to make any clarifications,
additions, corrections or other changes in consultation with the registrant's
management and counsel. The completion of an acquisition on May 23, 2003
previously reported in a Form 8-K received by the SEC on June 5, 2003 placed
unusual challenges on the small business registrant to effect business
integration as well as post-transaction audit and accounting consolidation of
the newly acquired subsidiary. The registrant anticipates completing the filing
requirement within five days of the initial filing due date.
