The registrant hereby amends this registration statement on such date or dates as may be necessary to delay its effective date until the registrant shall file a further amendment which specifically states that this registration statement shall thereafter become effective in accordance with section 8(a) of the Securities Act of 1933 or until the registration statement shall become effective on such date as the Commission, acting pursuant to said section 8(a), may determine.


 
On March 31, 1999, Microsoft Corporation (“Microsoft”) filed a Registration Statement on Form S-3, SEC 1933 Act Number 333-75389 (the “Registration Statement”) covering 918,702 shares of Microsoft’s common stock (the “Common Stock”) on behalf of certain “Selling Shareholders” of Microsoft.
 
The Registration Statement was filed in order to register shares of Common Stock issued to former shareholders of Compare Net, Inc. (“Compare Net”). Microsoft acquired Compare Net on March 4, 1999.
 
Pursuant to the terms of the Agreement and Plan of Reorganization between Microsoft and certain former shareholders of Compare Net, Microsoft’s obligations to maintain the effectiveness of the Registration Statement expired on March 4, 2001. Accordingly, Microsoft hereby de-registers all of its Common Stock registered pursuant to the Registration Statement and remaining unsold thereunder.
