         As a result of an extensive  travel schedule,  the  registrant's  Chief
         Executive  Officer has been  unavailable  during the week leading up to
         and the week of the due date of the  registrant's  Form  10-QSB for the
         quarter  ended March 31, 2001.  As a result of the CEO's  absence,  the
         registrant  is unable to file its Form  10-QSB  for the  quarter  ended
         March 31, 2001 by the prescribed due date.
