ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT
On March 16, 2005, Global Med Technologies, Inc. (the Company) entered into a new Common Stock Purchase Agreement (Purchase Agreement) with Fusion Capital Fund II, LLC, (Fusion Capital). Pursuant to the terms of the Purchase Agreement, Fusion Capital has agreed to purchase from the Company up to $8,000,000 of the Companys common stock over a thirty-two (32) month period. Pursuant to the terms of a Registration Rights Agreement, dated as of March 16, 2005, the Company agreed to file a registration statement on Form S-1 (the Registration Statement) with the Securities and Exchange Commission covering shares which may be purchased by Fusion Capital under the Purchase Agreement. Once the Registration Statement has been declared effective, each trading day during the term of the Purchase Agreement the Company has the right to sell to Fusion Capital $12,500 of the Companys common stock at a purchase price based upon the market price of the common stock on the date of each sale without any fixed discount to the market price. At the Companys option, Fusion Capital can be required to purchase fewer or greater amounts of common stock each month. The company has the right to control the timing and the number of shares sold to Fusion Capital. This offering was made pursuant to an exemption from registration provided by Section 4(2) of the Securities Act, 1933, as amended.
ITEM 1.02 TERMINATION OF MATERIAL DEFINITIVE AGREEMENT
On March 15, 2005, the Company terminated a Common Stock Purchase Agreement entered into with Fusion Capital dated as of October 8, 2004.
